TERMS AND CONDITIONS
(1) SELECTION / SCREENINGS
The Film will be screened at times and venues determined solely by the 5Point programming staff. Some films may be shown more than once, and 5Point reserves the right to schedule additional or last-minute screenings of the Film. 5Point also reserves the right to use all or parts of the Film for promotional purposes prior to or during the Festival.
(2) 5POINT ADDITIONAL SCREENINGS
If the Film Owner opts in during the acceptance process, 5Point may include the Film in its 2026/2027 5Point Film Tour (“On the Road”) or at any other 5Point screenings between April 2026 and April 2027. These may include community screenings, partner events, and other programs hosted or sponsored by 5Point.
(3) COMPENSATION TO THE FILM OWNER
5Point does not provide a screening fee for Festival or On the Road Tour screenings.
(4) REPRESENTATIONS BY FILM OWNER
Film Owner represents and warrants that they have the right and authority to enter into this Agreement and grant the rights specified herein. The Film Owner agrees to defend, indemnify, and hold 5Point harmless from any claims, losses, or damages arising from breach of these representations or from the exhibition of the Film.
(5) BINDING AGREEMENT
This Agreement is binding upon and will benefit the respective licensees, successors, and assigns of both parties.
(6) ENTIRE AGREEMENT; AMENDMENT
This Agreement is the complete understanding between the parties regarding this subject matter. No amendment is valid unless in writing and signed by both parties.
(7) GOVERNING LAW
This Agreement will be governed by the laws of the State of Colorado.
(8) DISPUTE RESOLUTION
Any disputes will be resolved by arbitration in Colorado under the rules of the American Arbitration Association. The arbitrator’s decision will be final and binding.
(9) SEVERABILITY
If any provision is held invalid, the remainder of this Agreement will remain in effect.
(10) WAIVER
Failure to enforce any provision will not be deemed a waiver of future enforcement of that or any other provision.
(11) ATTORNEY’S FEES
The prevailing party in any dispute will be entitled to reasonable attorney’s fees.
(12) CAPTIONS
